Terms of Service

1. Agreement to Terms

By accessing or using the services provided by Bear Labs LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Services

Bear Labs provides software development services including but not limited to:

  • Custom software development
  • Mobile application development
  • Web application development
  • AI and machine learning solutions
  • Game development
  • Technical consulting

Specific services, deliverables, and terms will be outlined in individual project agreements or statements of work.

3. Project Agreements

All projects are governed by a separate project agreement or statement of work that specifies:

  • Scope of work and deliverables
  • Timeline and milestones
  • Pricing and payment terms
  • Intellectual property rights
  • Confidentiality obligations

In case of conflict between these Terms and a project agreement, the project agreement shall prevail.

4. Payment Terms

Unless otherwise specified in the project agreement:

  • Payments are due according to the milestone schedule in your project agreement
  • Late payments may incur interest at 1.5% per month
  • We reserve the right to suspend work on overdue accounts
  • All fees are non-refundable unless otherwise stated

5. Intellectual Property

Client Materials

You retain all rights to materials you provide to us. You grant us a license to use these materials solely for providing our services.

Deliverables

Upon full payment, you own all custom code and deliverables created specifically for your project, unless otherwise specified.

Pre-existing Materials

We retain ownership of pre-existing code, frameworks, tools, and methodologies. You receive a perpetual, non-exclusive license to use these as part of your deliverables.

6. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law. We are happy to sign a mutual NDA upon request.

7. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. Fixed-delivery projects include a 30-day warranty for defects in our work.

EXCEPT AS EXPRESSLY STATED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEAR LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, REGARDLESS OF THE CAUSE OF ACTION.

Our total liability shall not exceed the amounts paid by you for the specific services giving rise to the claim.

9. Indemnification

You agree to indemnify and hold harmless Bear Labs from any claims, damages, or expenses arising from:

  • Your use of our deliverables
  • Materials you provide that infringe third-party rights
  • Your violation of these terms

10. Termination

Either party may terminate a project agreement with 30 days written notice. Upon termination:

  • You pay for all work completed to date
  • We deliver all completed work and work-in-progress
  • Confidentiality obligations survive termination

11. Force Majeure

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, war, terrorism, strikes, or government actions.

12. Governing Law

These Terms shall be governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our services constitutes acceptance of modified terms.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in full force and effect.
